Registering a company in Moldova
The incorporation documents of a foreign company are registered by the State Chamber of Registration of the Republic of Moldova.
I. LIST OF THE REQUIRED DOCUMENTS:
For a legal entity:
1.Founder's decision of incorporation;
2.Documents certifying the establishment of the foreign legal entity;
3.The extract from the national register of the investor's country of origin;
4.Identity act (passport) of the founder's representative, entitled by a power of attorney authenticated as prescribed by law, as well as of the new created legal entity's administrator;
5.Criminal record of the future administrator, if foreign natural person, issued by the relevant authorities of the country of origin and of the Republic of Moldova;
6.The bill confirming payment of the registration fee.
The documents listed in points 2,3 and 5 must be submitted in original or in copies authenticated by a notary and legalized by the consular offices of the Republic of Moldova abroad, being translated into the state language.
Foreign official documents drawn up on the territory of the state members of the Hague Convention Abolishing the Requirement of Legalization for Foreign Public Documents, signed on October 5,1961, and which Moldova is a party to, on which an apostille is affixed in the conditions stated by this Convention, are accepted for registration without any additional extra legalization. This order also can be applied to the extracts and to the copies of these documents.
For an individual:
1.Identity act (passport) of the founder;
2.The bill confirming payment of the registration fee.
Important note:
All the submitted documents should be translated into Moldovan and (there¬fore authenticated by a Moldovan notary);
Taking into consideration that the Republic of Moldova has not ratified the Hague Convention of 1961 on the simplified legalization of documents, for all the countries except CIS and former Warsaw agreement countries all the documents described above (for juridical persons) must be legalized. The legalization procedure begins with notary authentication in the origin country, than the documents should pass the legalization in Ministry of Foreign Affairs of that country and only then the documents are to be legalized in the respective Embassy (Consulate) of the Republic of Moldova. Usually the persons from EU countries address to the Consulate of the Republic of Moldova in Frankfurt am Main (Germany).
II. LEGAL ADDRESS
Each registered company must have a legal address:
It could be a home address of one of the founders (if one of the founders is a
Moldovan resident (citizen).
It could be the home address or ofthe office spaces of a resident (non- citizen), if the resident owns real estate in Moldova.
It could be the address of an office, where the company will rent space. In this case the landlord gives a paper permitting to register the company in his/ her space.

V.FOREIGN INVESTMENTS CAN BE OF DIFFERENT TYPES:
hard currency or other accepted foreign currency purchased by the banks of the Republic of Moldova and that make the object of bank operations;
machinery, equipment, including office equipment;
property and non-property rights, including the right on intellectual prop¬erty - patents, trademarks, industrial designs, know-how, copyrights, etc..;
securities, etc
Important note:
When a person has already registered an enterprise that doesn't function and hadn't been liquidated in accordance with the Moldovan legislation or to the national state budget, this person will be refused in registration enterprise until the above mentioned circumstances are removed.
